RENTAL AGREEMENT
Section 1 – General Contract
This agreement concerns the rental of items for events. Caribbean Blue Media & Events B.V., is the Vendor mentioned in this agreement.
Nothing in this contract shall be construed as creating a joint venture, partnership, franchise, agency, employer/employee, or similar relationship between the Parties. The Client shall not be responsible for withholding taxes with respect to any compensation paid to Vendor.
Section 2 – Rental Period
The rental term is scheduled for the date(s) mentioned in the Order that was submitted by the Client through the website shop. Any prolongation of this duration requires mutual written agreement by all parties involved.
Section 3 – Rental Items
The client agrees to rent the items itemized in the Order that was submitted by the Client through the website shop.
Section 4 – Rental Fee
The Client agrees to pay the Vendor 50% of the total rental fee as stated in the Order that was submitted by the Client in order to confirm the Order. The remaining 50% of the balance is due 14 days before the pickup date. Whilst every endeavor will be made to maintain prices as noted on the website, all prices are subject to alteration to allow for product availability and market cost variations.
Section 5 – Pickup and Return
The Vendor will have the rental items ready for pickup by the Client on the agreed-upon date, and they will be returned by the Client to the Vendor on the agreed-upon date.
Section 6 – Lost, Damaged or Dirty Items
All Rental Items are examined by Vendor prior to pickup from the Client. Client (or Client’s representative, such as a professional event coordinator) has the right to inspect all Rental Items upon pickup, and should initial the pickup inventory sheet that Vendor provides upon pickup.
- We kindly request you to return all rented items clean. Failure in doing this will result in an additional charge of at least ANG 50,- for cleaning cost.
- If Client discovers damaged or missing Rental Items prior to the start of the event, Client has to notify Vendor immediately. Vendor agrees to make all reasonable attempts to provide a replacement or substitute for any damaged or missing Rental Items prior to the event stated start time, or if no reasonable replacement or substitute item can be provided, to promptly refund the rental price of the damaged or missing item to Client. Client agrees that any damaged Rental Items will not be used at the event. All damaged Rental Items remain the property of Vendor and must be returned to Company.
- Client agrees to pay for any damages beyond normal wear and tear occurring after the Rental Items are delivered to Client, including damage occurring as a result of any person other than a Vendor representative moving the Rental Items from the location where they were picked up by Client; damages occurring during the event; damages occurring following the event, including while cleaning off the Rental Items or while packing up the Rental Items, are the sole responsibility of Client, whether actually caused by Client or by Client’s guests, event venue staff, or third party event vendors. Normal and reasonable wear and tear on Rental Items including, but not limited to dirt spots on linen. Damages beyond normal wear and tear may include, but are not limited to, heavily stained linen, broken glass, chipped plates, bent cutlery and excessive amounts of breakage. Certain items are labeled permanently modified if they are even slightly damaged, these items include but are not limited to, glass gift box, missing cutlery, paper umbrellas, paper fans etc.
- Client agrees to pay for the replacement cost of lost, stolen, or permanently modified Rental Items, including packaging supplies not returned such as plastic totes, crates, and dish racks.
Section 7 – Client Responsibilities
The Client agrees to pick up the rental items from the Vendor in a timely manner. Any delays caused by lack of timeliness may result in additional charges.
Section 8 – Cancellation Policy
In the event of cancellation by the Client, it must be confirmed in writing and the following conditions will apply;
- Cancellation more than 60 days before the event, full refund of deposit minus bank charges
- Between 30-60 days before the event, only deposit is non-refundable
- Between 14-30 days before the event, 75% of the total quoted price is due
- Between 0-14 days before the event, 100% of the total quoted price is due
Section 9 – Indemnity
Client agrees to indemnify and hold harmless Vendor, his agents, spouse, heirs, employees, agents, representatives, assigns, and all persons in privity with Vendor, from and against all claims, judgment, penalties, fines, damages, and liability of whatsoever nature for death or injuries to persons or property damage, arising from, related to, or resulting from Client’s rental, occupancy, and/or use of the leased premises, and, the negligent or intentional acts or omissions of Client, it's agents, heirs, invitees, licensees, employees, agents, representatives, and Client further agrees to indemnify and hold harmless Vendor, his agents, spouse, heirs, employees, agents, representatives, assigns, and all persons in privity with Vendor, from and against all claims, judgments, penalties, fines, or damages assessed as a result of Client’s negligence, rental, occupancy and/or use of the premises.
Section 10 – Default
If the default is made by the Client in any of the terms, covenants, or conditions contained herein, then, at the option of the Vendor, this lease shall forthwith terminate.
Section 11 – Compliance with Laws and Regulations
The tenant is required to adhere to all laws and regulations about the rental items in conformity with Curacao law at their own cost. This agreement will be governed by and interpreted according to the law of Curaçao. Disputes between the vendor and the client shall be submitted to the competent court in Curaçao.
Entire Agreement
This agreement constitutes the entire contract and understanding between the Parties as to the subject matter of this contract and replaces all prior understandings and agreements, whether written or oral, among the Parties with respect to the applicable subject matter.
